In the price theory that managerial economics inherits, the firm is a production function: a device that converts inputs into outputs and chooses the quantity that maximizes profit. That treatment is useful for questions about price and output and useless for questions about organization, because a production function has no inside, no employees and no boundary that could be drawn anywhere else.
Coase asked the question that the production function cannot answer. If the price mechanism allocates resources efficiently, why is any activity removed from it and placed under direction inside a firm? A large share of economic activity in any developed economy takes place inside organizations, coordinated by instruction rather than by price. Either that is a puzzle or the price mechanism has costs.
What followed is not a single theory but a set of competing and partly complementary answers, each with a different candidate for the essential thing a firm is. The firm is a device for economizing on transaction costs. It is a team whose output cannot be separated into individual contributions, plus a monitor. It is a legal fiction at which a set of contracts happens to meet. It is a bundle of assets whose owner holds the rights that no contract specified. It is an accumulation of knowledge and capability that markets cannot transfer.
The page that follows treats this as a debate, because that is what it is. The answers were written partly against each other, they disagree about whether authority inside the firm is even real, and no consensus has settled which of them is fundamental.

وما تلا ذلك ليس نظريةً واحدة بل مجموعةَ أجوبةٍ متنافسة متكاملة بعض التكامل، لكلٍّ منها مرشَّحٌ مختلف لِما هو جوهريّ في الشركة. فالشركة أداةٌ للاقتصاد في تكاليف المعاملات. وهي فريقٌ لا يمكن فصلُ ناتجه إلى إسهاماتٍ فردية، ومعه مراقب. وهي خيالٌ قانوني تلتقي عنده جملةُ عقود. وهي حزمةُ أصولٍ يحوز مالكُها الحقوقَ التي لم ينصّ عليها عقد. وهي تراكمُ معرفةٍ وقدرةٍ لا تستطيع الأسواق نقلَها.

Coase, 1937. Using the price mechanism is not free. Discovering what the relevant prices are, negotiating a separate contract for every transaction, and writing terms for every contingency all cost something. A firm supersedes a series of market contracts with a single open-ended one under which a factor of production agrees to accept direction within limits. The boundary follows immediately: the firm expands until the cost of organizing one more transaction internally equals the cost of buying it in the market. The paper was cited very little for thirty years and then became the foundation of an entire literature.
Penrose, 1959. A different answer written in a different tradition. The firm is an administrative framework holding a collection of productive resources whose services can be applied in more than one way. Growth is limited not by the market but by the managerial capacity available to plan and absorb expansion, since experienced managers are produced only inside the firm and only over time. This is the origin of the capability answer and, at one remove, of the resource-based view.
Alchian and Demsetz, 1972. A direct attack on Coase's account of authority. They deny that the firm has any power of fiat: an employer can tell an employee what to do exactly as a customer can tell a grocer what to bag, and the only sanction in either case is to end the relationship. What the firm actually solves is team production. When output is joint and individual marginal products cannot be observed, everyone has an incentive to shirk, so the group hires a specialist monitor and gives that monitor the residual income and the right to alter team membership, so that the monitor has an incentive to monitor.
Jensen and Meckling, 1976. The firm as a nexus of contracts. There is no such thing as the firm's objective, because a firm is a legal fiction serving as the connecting point for contracting relationships among individuals: shareholders, creditors, managers, employees, suppliers, customers. What deserves study is not the entity but the contracts and the agency costs they generate, defined as monitoring expenditure, bonding expenditure and the residual loss. This paper is why so much later work stopped asking what firms are and started asking how contracts are structured.
Williamson, 1975 and 1985. Coase made operational. Transactions differ, and the dimension that matters most is asset specificity: an investment worth much less in any use other than the present one. Once a party has made a specific investment, the parties are locked into a bilateral relationship, and bounded rationality plus opportunism make hold-up a live threat. Governance structures, market, hybrid and hierarchy, are matched to transactions by their specificity, frequency and uncertainty.
Grossman and Hart, 1986, and Hart and Moore, 1990. The property rights theory, and the sharpest reformulation of the question. Contracts are incomplete because not every contingency can be described in a way a court can verify. Ownership of an asset is therefore defined as holding the residual control rights, the right to decide anything the contract did not specify. Integration does not eliminate the problem; it reallocates it, strengthening the incentive of the party that acquires control and weakening the incentive of the party that loses it. The optimal boundary places ownership with whoever's non-contractible investment matters more, and integration has a genuine cost, which is what earlier accounts lacked.

بنروز، ١٩٥٩. جوابٌ مختلف كُتب في تقليدٍ مختلف. فالشركة إطارٌ إداري يضمّ مجموعةً من الموارد الإنتاجية التي يمكن توظيف خدماتها على أكثر من وجه. والنموّ لا تحدّه السوق بل الطاقةُ الإدارية المتاحة لتخطيط التوسّع واستيعابه، إذ لا يُنتَج المديرون ذوو الخبرة إلا داخل الشركة ولا إلا بمرور الوقت. وهذا أصلُ جواب القدرات، وبواسطةٍ واحدة أصلُ نظرية الموارد.
ألكيان وديمسِتز، ١٩٧٢. هجومٌ مباشر على تصوير كوز للسلطة. ينكران أن للشركة سلطة أمرٍ أصلًا: فربُّ العمل يقول للموظّف ما يفعل كما يقول الزبونُ للبقّال ما يضعه في الكيس، والجزاءُ الوحيد في الحالتين إنهاءُ العلاقة. والذي تحلّه الشركةُ فعلًا هو الإنتاج الجماعي: فحين يكون الناتج مشتركًا ويتعذّر ملاحظةُ النواتج الحدّية الفردية، صار لكلّ أحدٍ حافزٌ إلى التقصير، فتستأجر الجماعةُ مراقبًا مختصًّا وتمنحه الدخلَ المتبقّي وحقَّ تغيير أعضاء الفريق، ليكون له حافزٌ إلى المراقبة.
جنسن ومكلينغ، ١٩٧٦. الشركة ملتقى عقود. فلا وجود لشيءٍ اسمه هدف الشركة، لأن الشركة خيالٌ قانوني يعمل نقطةَ وصلٍ لعلاقاتٍ تعاقدية بين أفراد: مساهمون ودائنون ومديرون وموظّفون ومورّدون وعملاء. والجديرُ بالدرس ليس الكيان بل العقود وما تولّده من تكاليف وكالة، وهي نفقةُ الرقابة ونفقةُ الالتزام الذاتي والخسارةُ المتبقّية. وهذه الورقة سببُ كفّ كثيرٍ من العمل اللاحق عن سؤال ما الشركات وانصرافه إلى سؤال كيف تُبنى العقود.
وليامسون، ١٩٧٥ و١٩٨٥. تشغيلُ كوز. فالمعاملات تختلف، وأهمُّ أبعاد اختلافها خصوصيةُ الأصل: استثمارٌ تهبط قيمتُه هبوطًا شديدًا في أيّ استعمالٍ غير الحاضر. ومتى قام طرفٌ باستثمارٍ خاصّ صار الطرفان محبوسين في علاقةٍ ثنائية، وجعلت العقلانيةُ المحدودة والانتهازيةُ خطرَ الاحتجاز قائمًا. وهياكلُ الحوكمة، سوقًا وهجينًا وتسلسلًا، تُطابَق على المعاملات بخصوصيّتها وتكرارها وعدم اليقين فيها.

Three questions hide inside one. Why do firms exist at all rather than a market of individuals. Where does the boundary fall between what is made and what is bought. And what is the nature of authority inside the boundary. Different answers were built to address different ones of these, which is the main reason they are so often treated as rivals when they are not competing for the same ground.

Where the answers actually disagree. The first disagreement is about authority. Coase says the firm exists because direction replaces negotiation. Alchian and Demsetz say there is no direction, only contract termination. Hart says both are half right: authority is real but it derives from owning the assets a person needs in order to work, which is why the employment relation looks different from a supply relation without requiring any special legal power. The second disagreement is about what integration costs. Coase and Williamson locate the cost in bureaucratic failure and weakened high-powered incentives, which is a claim about administration. The property rights theory locates it precisely: the party that loses control loses the incentive to invest, and that loss is the cost. The third disagreement is about whether the boundary is chosen by cost comparison at all. In the capability tradition a firm cannot simply buy what it has not learned to do, and the make or buy comparison presupposes a competence to make that may not exist.

Decide which of the three questions is yours before choosing a literature. A study of vertical integration is a boundary study and belongs with transaction cost and property rights work. A study of delegation, span of control or internal transfer pricing is a study of authority. A study of why one firm outperforms another is a capability study and is not about boundaries at all. Papers that cite all of these together usually test none of them, because the predictions only conflict once the question is fixed.
The design that works is a dated, externally imposed change in the boundary. A regulatory requirement to separate an activity, a mandated unbundling of a network from its operator, a privatization, a corporatization of a government unit into a company, a change in the enforceability of a class of contract. Each of these moves the boundary for reasons the firm did not choose, which is the only way to escape the selection problem that ruins cross-sectional work.
The designs that fail are worth naming. Regressing performance on a make or buy indicator measures the consequences of a choice the firm made because it expected exactly that consequence. Using firm size as a proxy for the boundary confuses scale with scope. Measuring transaction costs by a survey question about perceived difficulty produces a variable that correlates with dissatisfaction and with almost nothing structural. And testing transaction cost economics against the resource-based view as though they were rival hypotheses about the same outcome is a category error that reviewers increasingly catch.
Angles where this setting changes the question rather than just relocating it.

The boundary question has several answers that are not competing. This is the most consequential thing to understand and the least often stated. Coase and Williamson explain why a transaction moves out of the market. Grossman, Hart and Moore explain why moving it in has a cost. Penrose and the capability tradition explain why a firm may be unable to move it either way. Alchian and Demsetz explain why a team needs a residual claimant. These are answers to overlapping but distinct questions, and treating them as rival hypotheses about one outcome produces studies that cannot come out any particular way. Choose one question, state which answer you are testing, and say plainly that the others are not being tested.
The nexus of contracts view dissolves the firm. If a firm is only a meeting point for contracts, then nothing distinguishes an employee from a supplier, an organization from a market, or a merger from a long-term agreement. Critics from law and from organization theory have pressed this hard: the firm is a legal person that owns assets, is sued in its own name, survives the departure of every individual who signed a contract with it, and exercises direction that no supply contract confers. The nexus formulation was analytically productive for agency research and it is a poor answer to the question Coase asked, since it declares the question empty rather than answering it.
Hart's own caution is that incomplete contract models are hard to test. The theory's central quantities, the non-contractible investment, the value of an asset in its second-best use, and the division of surplus in a renegotiation that never becomes public, are all unobservable. Empirical work substitutes proxies for asset specificity and reads the results as support, which is a much weaker inference than the model's precision suggests. There is also an internal critique, that if parties can foresee the hold-up they can often write a mechanism that solves it, which would remove the need for ownership to do the work.
Transaction costs are counterfactual and therefore easy to invoke and hard to refute. The cost of the market arrangement that was not chosen is never observed. A finding that firms integrate where specificity is high is consistent with the theory and also with several other stories, including capability, financing and regulatory ones. Very few studies measure a transaction cost rather than a proxy for the conditions under which one is presumed to arise.
The literature was written about a particular kind of firm. Widely held, common-law, private, operating where courts enforce contracts reliably and where the state is a referee rather than a player. Family groups, state-owned enterprises and firms whose access depends on licence and relationship are the normal case in much of the world and the exception in this literature. Applying the models without adjusting them exports assumptions that do not hold.
Authority inside the firm remains under-theorized. Economics explains why the boundary exists better than it explains what happens inside it. How decisions are actually made, how much discretion is delegated and why formal authority and real authority diverge are questions the boundary literature largely leaves to organization theory, and a study of internal organization will not find its answers here.

وتنبيهُ هارت نفسه أن نماذج العقود غير التامّة يصعب اختبارها. فكمّياتُ النظرية المركزية، أي الاستثمار غير القابل للتعاقد، وقيمةُ الأصل في ثاني أفضل استعمال، وقسمةُ الفائض في إعادة تفاوضٍ لا تصير علنيةً قطّ، كلُّها غير قابلة للملاحظة. ويستبدل العملُ التجريبي بها بدائلَ لخصوصية الأصل ويقرأ النتائج تأييدًا، وهذا استدلالٌ أضعف كثيرًا مما توحي به دقّةُ النموذج. وثمّة نقدٌ داخلي كذلك: أن الطرفين إن استطاعا توقّع الاحتجاز أمكنهما في الغالب كتابةُ آليةٍ تحلّه، وذلك يرفع الحاجة إلى أن تقوم الملكية بالعمل.
وتكاليف المعاملات مضادّةٌ للواقع، فيسهل استحضارُها ويصعب دحضُها. فكلفةُ الترتيب السوقي الذي لم يُختَر لا تُلاحَظ قطّ. ونتيجةُ أن المنشآت تتكامل حيث تعلو الخصوصية متّسقةٌ مع النظرية ومع حكاياتٍ أخرى عدّة، منها ما هو في القدرات وما هو في التمويل وما هو في التنظيم. وقليلٌ جدًّا من الدراسات يقيس كلفة معاملةٍ بدل بديلٍ عن الظروف التي يُفترض نشوؤها فيها.
وقد كُتبت هذه الأدبيات عن صنفٍ بعينه من الشركات. مشتَّتةِ الملكية، في نظامٍ قانوني عامّ، خاصّةٍ، تعمل حيث تُنفِذ المحاكمُ العقودَ إنفاذًا موثوقًا، وحيث تكون الدولة حَكَمًا لا لاعبًا. أما المجموعات العائلية والمنشآت المملوكة للدولة والشركاتُ التي يتوقّف وصولُها على الرخصة والعلاقة فهي الحالةُ المعتادة في كثيرٍ من العالم والاستثناءُ في هذه الأدبيات. وتطبيقُ النماذج من غير تعديلٍ يصدّر افتراضاتٍ لا تصدق.
والسلطة داخل الشركة ما تزال ناقصةَ التنظير. فالاقتصاد يفسّر وجود الحدّ خيرًا مما يفسّر ما يجري داخله. وكيف تُتّخذ القرارات فعلًا، وكم يُفوَّض من تقدير، ولماذا تتباعد السلطة الرسمية عن السلطة الفعلية، أسئلةٌ تتركها أدبياتُ الحدود في معظمها لنظرية المنظمات، ودراسةُ التنظيم الداخلي لن تجد أجوبتها هنا.
